Rendo Noto la Mail che con mio stupore(in Quanto a celerità)Mi ha inviato su mia richiesta l ' Ir della Banca di Irlanda.Per quanto valga almeno sono professionali.

Ottimo, complimenti :up:: qui addirittura il criterio distintivo indicato è un'altro, ossia la presenza o l'assenza di clausole che consentano la convertibilità in preferred shares ...:-?

Che dire: la sostanza del discorso è che l'ultima volta che si sono avute significative nazionalizzazioni di banche per metterele al riparo dalle conseguenze dello scoppio di una bolla creditizia (allora generata quasi esclusivamente dall'immobiliare, oggi vedremo cosa altro verrà...) è stato nei primissimi anni '80, quasi 30 anni fa, ed all'epoca - da quanto ne so - tante tipologie di emissioni non c'erano... :)

Quindi si affronta una situazione relativamente "nuova" ... ;)

Ps: per Solenoide: è vero, dovresti scrivere più spesso ... :D

of the Issuer, either (i) be exchanged for, or their terms varied so that they become, Upper Tier 2 Securities or
(ii) be redeemed at, as applicable, their principal amount or the Redemption Price, in each case together with
any Outstanding Payments, subject as provided in "Terms and Conditions of the Preferred Securities —
8. Exchange, Variation or Redemption — (c) Exchange, Variation or Redemption due to Taxation and —
(d) Exchange, Variation or Redemption for Regulatory Purposes".

Inoltre anche qui in caso di liquidazione si ritrova una distinzione tra classi di preferred shares simile a quella espressa nel prospetto ING :

1.4.2 In the event of a winding-up of the Bank, the claims of the holders of the Preferred Securities under the Guarantee will rank for payment:

pari passu with the holders of that class or classes of preference stock (if any) from time to time issued by the Guarantor which have a preferential right to a return of assets in a winding-up of the Guarantor and thus rank for payment ahead of the holders of other classes of issued stock in the
capital of the Guarantor (but excluding any notional class of preference stock in the capital of the Guarantor as described in sub-paragraph (c) above).

Quindi si deve suppore che preferred o preference share nasconda in realta' un po' di tutto , dall' ibrido simil-bond alla preference share intesa come vera e propria azione privilegiata , che ne dite ?:-?
Potremmo stabilire un criterio secondo cui se dal prospetto si intuisce che la preferred share e' senior rispetto a tutte le altri classi di preferred share sara' trattata in linea di massima come un bond?

Forse queste Preferred Shares sono considerate Senior per questo hanno ancora Moodys rating A3 ?

Ciao a me basta che in caso di nazionalizzazione non mi trasformino il bond in azioni,e questo è quello che mi hanno detto,oltretutto hanno fatto esempio che gli stessi Ibridi di anglo vengono cmq considerati bond e come tali pagati e capitalizzati.
Questo mi basta.

Credo che purtroppo dovremo abituarci a districarci fra le clausole delle Offering Circular che riguardano il grado di subordinazione e il verificarsi di eventi straordinari.

D'altronde si sa che questi strumenti sono di natura ibridi fra le azioni e le obbligazioni, notevolmente diversi l'uno dall'altro quanto a contenuto di "equity" o di "debt". E non a caso si è sempre sottolineato che occorre leggere con attenzione le OC.

Oggi è uscita la notizia che anche Hypo Real Estate (controllante di Depfa) verrebbe nazionalizzata.

Hypo Real Estate Rises as State Considers Takeover (Update2)

Jan. 28 (Bloomberg) -- Hypo Real Estate Holding AG, the German property lender that may be nationalized, rose the most in more than a month in Frankfurt trading on speculation that investors might be bought out by the German government.
Germany is considering buying a 70 percent stake in Hypo Real after two previous state bailouts, three people familiar with the situation said. The plan being considered by the Finance Ministry to gain control would dilute investors’ holdings, including the stake of about 25 percent owned by U.S. investor J.C. Flowers Co., said the people, who declined to be named because the talks are private.
“The stock is rising on speculation the government will have to buy out remaining shareholders,” said Andreas Plaesier, a Hamburg-based analyst at M.M. Warburg who recommends selling the shares. “If the state doesn’t nationalize the bank, it may face bankruptcy.”
Hypo Real foundered in October after its Dublin-based Depfa Bank Plc unit was unable to borrow after credit markets seized up. It has since received 92 billion euros ($121 billion) in debt guarantees and credit lines. Finance Minister Peer Steinbrueck has said saving Munich-based Hypo Real is necessary to maintain the stability of Germany’s mortgage-bond market.
The lender’s shares gained 9 cents, or 5.7 percent, to 1.68 euros, the biggest gain since Dec. 19. There’s speculation the government might offer 2 euros per share to Flowers and other shareholders, Plaesier said.
Hypo Real Estate spokesman Oliver Gruss and a London-based spokesman for Flowers declined to comment.

Nationalization

A government takeover would mark Germany’s first bank nationalization in almost 80 years, according to Wolfgang Gerke, director of the Frankfurt School of Finance and Management. The 1931 collapse of Danat Bank was “our own homegrown Lehman Brothers,” Gerke said. “Sadly, we seem to have forgotten the lessons.”
Lawmakers would have to pass a law specific to a Hypo bailout. Germany’s 480 billion-euro bank bailout fund bars the government from taking a stake in a bank larger than 33 percent. What’s more, takeover law now requires buyers of more than 30 percent of an incorporated company to offer to purchase all remaining shares.
“If Hypo’s new capital requirements are as much as 10 billion euros, which seems reasonable, buying stock of this value at current prices would create a government stake of at least 70 percent,” Dirk Becker, an analyst at Kepler Capital Markets in Frankfurt, said in an interview.

Commerzbank

Becker said the government may even get up to 80 percent of Hypo Real if it pumps 10 billion euros into the bank, the sum it transferred to Commerzbank AG this month for a holding of 25 percent and one share.
“This may dilute Flowers’ share to as low as 5 percent,” Becker said. Hypo Real’s shares have fallen 90 percent in six months, cutting its market value to 355 million euros.
Flowers doesn’t plan to sell a 24.9 percent stake he bought with investors in June for 1.13 billion euros, one person close to the matter said. Flowers would welcome the government investing in Hypo Real because it would provide fresh capital and stabilize the business, the person said, who declined to be identified.
Lawmakers from German Chancellor Angela Merkel’s coalition of Christian Democrats and Social Democrats have this month expressed concern over government bank takeovers, saying that the state isn’t a suitable manager for lenders. They also said investors may be dissuaded from buying shares if the government can buy up their investments by fiat.

io sto seguendo la perpetual della lodi che quota prezzi secondo il mio modestisssssimo punto di vista decisamente bassi....vedete grossi problemi per il gruppo bancario Lodi o per il prossimo pagamento di cedole???

Con questa quotazione ci sono rendimenti allucinanti!

Ciao puravida, il Banco Popolare non è fra le banche italiane che se la passano meglio ma da qui ad immaginare un default secondo me ce ne passa.

La banca è molto radicata a livello retail e secondo me adesso è in condizioni di potercela fare tranquillamente.

Probabilmente quest'anno non pagherà il dividendo, e questo potrebbe causare la perdita di una cedola e un po' di pressione sulle quotazioni, ma prima o poi (probabilmente fra un anno o due) le quotazioni dovrebbero riprendersi.

Benritrovata la crema del fol! Un saluto a tutti, ed un consiglio. Io ho in portafoglio l'ibrido delle Generali, 50.000 che rappresentano il taglio minimo, pagato 66 + rateo. Rappresentano poco meno del 5% del portafoglio. In una settimana la quotazione è scesa da 66 a 60. Io ero molto tranquillo specie dopo la sottoscrizione da parte di Mediobanca dell'ibrido a lei riservato. Ora mi domando: c'è da preoccuparsi o c'è da comperarne un'altro lotto a questi prezzi?

Su Generali sarei tranquillissimo, escludo che abbia problemi a pagare le cedole e credo anche che eserciteranno la call.

Se ne hai già un 5% del protafoglio, però, non ne comprerei ancora, a meno che tu non ami molto il rischio. :D

Bada bene, non sto dicendo che penso ad un rischio di default, piuttosto credo che potresti restare investito per un bel po' prima di rivedere il prezzo di acquisto. Ci aspettano mesi difficili, avremo molte brutte notizie su questi titoli, e ancora non c'è la fila per comprare ;)

Un altro perpetual ING con call 15.01.2009 e' tuttora trattato al Nyse con ticker ISP , sul FOL mi sembra ( non sono sicurissimo) di aver letto che Kuka e' in possesso di un perpetual DB che non e' stato richiamato l'anno scorso

Ciao solenoide, se potessi postare qualche info in più magari faccio delle ricerche... :bow:
