NOVO BANCO, S.A. TENDER OFFERS AND PROPOSALS – ANNOUNCEMENT OF EARLY SETTLEMENT SERIES AND EXTENSION OF EARLY PARTICIPATION DEADLINE
20 July 2021 On 9 July 2021, Novo Banco, S.A. (the “Bank”) announced the separate invitations to holders (the “Securityholders”) of each series of outstanding securities listed in the Tender Offer and Solicitation Memorandum (as defined below) (each a “Series” and together, the “Securities”) to whom it was lawful to send the Tender Offer and Solicitation Memorandum and to make such invitations under applicable laws: (i) to tender their Securities for purchase by the Bank for cash (such invitations, the “Offers” and each an “Offer”); and (ii) to approve, by the relevant Extraordinary Resolution, certain modifications to the terms and conditions of each Series of Securities to provide for the Issuer to redeem all, but not some only, of such Series of Securities remaining (if any) following the completion of the relevant Offer (the “Proposal” and together, the “Proposals”), in each case, on the terms and subject to the conditions set out in the Tender Offer and Solicitation Memorandum dated 9 July 2021 (the “Tender Offer and Solicitation Memorandum”). Capitalised terms used but not defined in this announcement have the same meaning given to them in the Tender Offer and Solicitation Memorandum. Early Settlement Series The Bank announces that none of the Series constitutes an Early Settlement Series and there will therefore be no early settlement of any Securities. Extension of Early Participation Deadline The Bank also announces that the Early Participation Deadline shall be extended to the Expiration Deadline being 4:00 p.m. (Lisbon/London time) on 28 July 2021. The deadline for receipt by the Tender Agent of valid Tender Instructions or Voting-Only Instructions in favour of the relevant Extraordinary Resolution for Securityholders to be eligible to receive the relevant Early Purchase Price or the relevant Early Voting Fee, as applicable, is therefore 4:00 p.m. (Lisbon/London time) on 28 July 2021. References to the Early Participation Deadline in the Tender Offer and Solicitation Memorandum and in each Further Details Document shall be construed accordingly. Securityholders who have submitted Tender Instructions or Voting-Only Instructions after the original Early Participation Deadline and before the date of this announcement need not take any further action. 2 For the avoidance of doubt, the extension of the Early Participation Deadline described above shall not give rise to any right to revoke Tender Instructions or Voting-Only Instructions previously submitted to the Tender Agent. Non-Early Settlement Series For the avoidance of doubt, each Series of Securities is a Non-Early Settlement Series. Securityholders are advised to read carefully the Tender Offer and Solicitation Memorandum for full details of the relevant Offers and the relevant Proposals in respect of any Non-Early Settlement Series. The final results in respect of any Non-Early Settlement Series will be announced as soon as reasonably practicable after the Meetings, which will be held on 2 August 2021.
