On October 19, 2006, Cell Therapeutics, Inc. (the "Corporation") issued a press release (the "Press Release") announcing that it had obtained antitrust regulatory clearance for the Securities Purchase Agreement, dated September 15, 2006 (the "Purchase Agreement"), by and between the Corporation and Novartis Pharma AG and the License and Co-Development Agreement, dated September 15, 2006 (the "License Agreement"), by and between the Corporation and Novartis International Pharmaceutical Ltd. The License Agreement became effective upon the receipt of such antitrust regulatory clearance. In addition, pursuant to the Purchase Agreement, the Corporation closed the sale of 8,670,520 shares of its common stock to Novartis Pharma AG for a total purchase price of $15 million.
A copy of the Press Release is attached hereto as Exhibit 99.1. Copies of the License Agreement and Purchase Agreement are attached as Exhibit 10.1 and Exhibit 10.2, respectively, to the Corporation's Current Report on Form 8-K filed on September 18, 2006.

Cell Therapeutics Inc. Adotta Azioni Correttive In Risposta a Risoluzione NasdaqCell Therapeutics , Inc. (Nasdaq e MTAX: CTIC) (la "Società") ha annunciato in data odierna di aver ricevuto una comunicazione da parte del Nasdaq (cosiddetta "Deficiency Letter") secondo la quale l'offerta di azioni e warrants recentemente portata a termine dalla Società non sarebbe conforme ai requisiti di approvazione assembleare previsti dalla Nasdaq Marketplace Rule 4350(i)(1)(D). Il Nasdaq ha segnalato verbalmente alla Società tale mancanza di conformità in data 12 ottobre 2006 e, in risposta a tale segnalazione verbale, la Società ha adottato misure per sanare la violazione della norma citata, procedendo al riacquisto di una parte delle azioni e warrants collocati nel contesto di tale offerta e così riducendo l'ammontare dell'offerta al di sotto della soglia del 20% stabilita dalla Nasdaq Marketplace Rule 4350(i)(1)(D). La Società ha deciso di riacquistare n. 1.094.000 azioni per un controvalore complessivo di US$1.892.620 e warrants che conferiscono il diritto di acquistare n. 5.660.352 azioni per un controvalore complessivo di circa US$1.132.071. La suddetta comunicazione ricevuta dal Nasdaq conferma che, dietro corrispondente informativa al pubblico ai sensi della Nasdaq Marketplace Rule 4803(a), la Società ha sanato la violazione della norma Nasdaq Marketplace Rule 4350(i)(1)(D) e la questione deve considerarsi chiusa.
